Function description
- Identify any potential legal risk and exposure that the Company may face due to its operations and investment in Mexico.
Ensure that the Company is conducting its business in Mexico in full compliance with all national and international laws and regulations, particularly with those that pertain to the Oil and Gas industry, as well as professional standards, accepted business practices, and internal standards.
Negotiate, review, draft and advise on Farmin Agreements, Joint Operating Agreement (JOAs), License Agreements and Production Sharing Contracts (License Agreements and Productions Sharing Contracts, jointly known as “Petroleum Contracts”)
Pursue claims related to The Company operations in Mexico, managing lawsuits and arbitration proceedings, coordinating between the partners, external lawyers and claimants.
Review of Board Papers (prepared by other teams) and preparation of Board and Shareholders´ Resolutions, following up until the final signing of the foregoing documents, being in charge of the protocolization or notarization, as the case may be, keep control of the corporate books of the The Company´s Mexican entities.
Be responsible for advising, giving opinion and assistance on labour Issues, particularly any matter that relates when dealing with labour unions.
In general, other legal assistance/advice regarding the day-to-day activities and operations.
