This is a key role which reports to the Legal Director with strong interaction with the Operational teams and works in autonomy for the day-to-day management of contractual activity for projects in Africa and for some jointventures.
Key Responsibilities:
- Leading and managing the overall contract administration and negotiation during tendering process in conjunction with commercial and legal department for Africa, with an emphasis on the overall contractual solution to achieve the best commercial/ contractual position with minimum risk exposure including qualification and negotiation of main contract provisions and exhibits, review and administration of bank bonds, parent company guarantees and insurance certificates, manage flow down and negotiation with suppliers, preparation of contractual risk summary, including summary for tender board.
- Effective administration post-award of all contracts and subcontracts (products, services, charter parties…) including escalations, variations, extensions, mutual hold harmless agreements and claims.
- Draft and review of memorandum of understanding, pre-bid agreement, cooperation agreements;
- Leading and managing drafting, reviewing and revising terms and conditions of general commercial, frame and service contracts.
- Review due diligence questionnaires from suppliers, prepare due diligence questionnaires for clients.
- Ensuring that commercial, project personnel and other departments are aware of contractual obligations and objectives and provide guidance to supply chain and project personnel on contractual wording/ risk mitigation and advising on contractual interpretation.
Qualifications and Education
General Education: Candidates should be qualified in Law, Business Management or Quantity Surveying (with additional qualification or recognized training in Contract Law).
Specified Qualifications for position:
Relevant previous experience at an appropriate level in senior capacity (min 5-10 years) in a similar environment.
Continuing Professional Development:
Candidates should be able to demonstrate and or show willingness to developing themselves as appropriate to the job role. An interest in the Oil & Gas/Offshore industry is deemed necessary for the job role.
Technical Skills
- Knowledge of the offshore industry would be advantageous.
- Competency in Microsoft Office is essential to achieve projects deliverables.
- Knowledge of English law is essential and competencies in other jurisdictions, in particular French or African laws would be advantageous.
- Fluency in English is essential for this role and competencies in another language would be advantageous (French, Portuguese, Spanish…).
Experience
Previous experience in leading contractual discussions within a commercial, contractual or legal based role is required.
Knowledge: Well developed skills and knowledge base in the field of Contracts /Legal/Commercial is essential. Experience of operating within an international arena will be a distinct advantage.
